1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Permanent QR Codes ("we," "us," or "our"), concerning your access to and use of the https://permanentqrcodes.com website and our permanent QR code service.

By accessing or using our services, you agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the site and must discontinue use immediately.

2. Permanent QR Code Guarantees (No Subscription Model)

Permanent QR Codes operate on a one-time payment, lifetime ownership model:

• No Expiration: Once purchased, your QR codes will never expire or require monthly or annual subscription renewal fees.
• Editable Destinations: You retain the perpetual right to update the target URL or asset destination at any time without reprinting physical assets.
• Unlimited Scans: Your permanent QR codes include unlimited scan routing without artificial bandwidth caps or monthly scan limits.

What "Lifetime" Means: Your QR codes are yours to own, edit, and use indefinitely. You will never be required to pay a renewal fee or lose access due to expiration. Your codes stay active and routable as long as you choose to keep them active, with no time limit. This is a perpetual license, not a lease or rental.

3. Acceptable Use Policy & Termination Rights

You agree not to use our permanent QR code service to:

• Redirect users to phishing sites, malware, scam portals, or illegal content.
• Distribute unauthorized copyrighted material or engage in deceptive practices.
• Interfere with or disrupt the security or integrity of our redirect network.

Suspension & Notice: We reserve the right to suspend or terminate any QR code routing that violates this Acceptable Use Policy. Except in cases of imminent legal harm (active phishing, illegal content, or legal obligations), we will provide 30 days' written notice to your account email, allowing you to remediate or request a refund. Emergency terminations (without notice) apply only to clear violations that pose immediate legal or security risk to us or third parties.

4. Customer Indemnification

By creating and using any QR code on Permanent QR Codes, you agree to indemnify, defend, and hold harmless Permanent QR Codes, its owners, employees, and service providers from any and all claims, damages, losses, or costs (including reasonable attorney fees) arising from:

• Your selection of a destination URL that redirects to phishing, malware, illegal, or fraudulent content.
• Your violation of any third-party intellectual property rights (copyright, trademark, patent, or trade secret) through your QR code's destination.
• Claims by end-users who scanned your QR code (including fraud victims, users misled by false advertising, or consumers harmed by your destination).
• Your violation of the Acceptable Use Policy or any applicable law in your jurisdiction.
• Your failure to immediately notify us if your QR code is misused, compromised, or reported by third parties.

Your Sole Responsibility: You are solely and entirely responsible for the legality, safety, and accuracy of any destination URL you choose to redirect to. Permanent QR Codes does not vet, audit, pre-screen, or verify the destinations you select. You own the choice of destination; we only host the routing.

5. Intellectual Property Rights

The Permanent QR Code platform, source code, designs, graphics, trademarks, and service marks are owned by us or licensed to us. You retain all ownership rights to your destination URLs, uploaded branding assets, and custom media.

6. Warranty Disclaimer & Limitation of Liability

Uptime Disclaimer: Permanent QR Codes provides the service "as-is." While we commit to industry-standard uptime, we do not guarantee permanent, uninterrupted service due to factors beyond our control (cloud provider outages, network failures, natural disasters). Temporary downtime does not constitute termination or expiration of your codes.

Continuity Commitment: In the unlikely event that Permanent QR Codes discontinues operations, we commit to either: (a) transferring your codes and data to a successor platform at no cost to you, or (b) providing archived access to your QR codes and their routing configurations for at least 12 months. You will receive at least 90 days' notice before any such transition occurs. This ensures your printed codes do not become dead links due to service discontinuation.

Liability Cap: Except for your indemnification obligations and our continuity commitment above, Permanent QR Codes' total liability for any claim shall not exceed the fees you paid in the 12 months prior to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits or lost business opportunity.

7. Third-Party Services Disclaimer

Permanent QR Codes uses third-party services for payment processing (Dodo Payments) and cloud hosting (Google Cloud, Firebase). We are not responsible for outages, data breaches, or service disruptions caused by these third-party providers. If Dodo Payments is unavailable, experiences fraud, or has payment disputes, those are resolved directly between you and Dodo—not with Permanent QR Codes. You acknowledge that cloud infrastructure outages may temporarily affect QR code routing, and we are not liable for such outages.

8. Amendment & Modification of Terms

Permanent QR Codes reserves the right to modify these Terms of Service at any time. Material changes (including price increases, feature removals, or liability changes) will be announced at least 30 days in advance via email to your registered account address. Your continued use of the service after the modification date constitutes acceptance of the updated Terms. If you disagree with changes, you may request a refund for any unused credits within 14 days of the announcement.

9. Account Termination & Data Retention

Termination for Policy Violations: Permanent QR Codes reserves the right to terminate your account and disable all QR codes associated with it if you violate the Acceptable Use Policy or these Terms. Upon termination for cause (policy violations), you forfeit any unused credits and no refund is issued. Your QR codes are deactivated and cannot be reactivated.

Termination by You: You may request account closure at any time by contacting support@permanentqrcodes.com. Upon your request to close your account, we will process a refund per the Refund Policy and disable all associated QR codes.

Data Retention: Your account data (email, payment info, QR code routing configuration) is retained indefinitely to maintain your lifetime QR codes as promised. We will only delete your account data if you explicitly request deletion in writing, or if your account is terminated for policy violations. Your QR codes themselves remain active and routable indefinitely, even if your account data is deleted.

10. No Class Action

You agree that any legal claim against Permanent QR Codes must be brought as an individual action, not as part of a class action lawsuit or class arbitration. This means you waive the right to pursue claims together with other customers. Any dispute will be resolved individually, either through negotiation, arbitration, or court proceedings.

11. Severability

If any provision of these Terms of Service is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect. We will not be relieved of our obligations under the remaining valid Terms.
